Bylaws of the Pagan Solidarity Alliance (PSA)

PREAMBLE

The Pagan Solidarity Alliance (PSA) exists to unify and support Pagan individuals and communities who share our vision and values in times of spiritual, political, and cultural challenge. Our intent is to protect religious freedom, promote justice, and act in collective defense of marginalized people through magical, legal, interfaith, and practical means.

We operate as a decentralized, collaborative, and sacred network of spiritual practitioners, clergy, organizers, and allies. These bylaws exist to foster transparency, ensure ethical conduct, and provide a functional structure should the Alliance choose to incorporate formally in the future.

NOTE: These bylaws are aspirational and preparatory. PSA is not currently a 501(c)(3), but this document aligns with requirements in case such status is pursued.

ARTICLE I: Name and Purpose

1.1 Name: The organization shall be known as the Pagan Solidarity Alliance (PSA).

1.2 Mission: The Pagan Solidarity Alliance is dedicated to fostering unity, mutual support, and effective advocacy within the diverse and evolving Pagan community. Recognizing the rich tapestry of spiritual paths under the Pagan umbrella, we commit to building a welcoming, inclusive, and collaborative space where all traditions, practices, and identities are respected and uplifted.

1.3 Purpose: The purpose of the Alliance is to serve as a unified voice and resource hub for Pagans and allied communities. We aim to:

• Defend religious freedom and promote diversity, equity, and inclusion in public life, law, and policy.
• Support and protect Pagans and other marginalized or vulnerable groups facing discrimination, injustice, or misinformation.
• Empower individuals and strengthen communities through capacity-building, networking, mentorship, and resource sharing.
• Promote education and outreach to dispel harmful stereotypes, cultivate understanding, and advance public recognition of Pagan beliefs and practices.
• Facilitate mutual aid and community care, offering direct support to members in times of need and fostering a culture of compassion and interdependence.
• Build coalitions with allied movements and communities, working together for shared goals such as religious freedom, environmental stewardship, social justice, and human rights.

We believe in this core truth: we are stronger together, and none of us is truly free until all of us are.

ARTICLE II: Membership

2.1 Membership Classes: PSA recognizes two classes of membership: Individual Members and Institutional Members. Participation level is not a separate class of membership.

2.2 Individual Members: Individual Membership is available to natural persons who support PSA’s mission and values, agree to comply with these bylaws and applicable codes of conduct and policies, and are admitted under procedures established by the Spiral Council. Individual Members may participate according to their interests, abilities, expertise, and availability.

Only registered Individual Members in good standing have electoral voting rights. Each eligible Individual Member has one vote in elections for the Spiral Council. Individual Members may seek elected office if they satisfy the eligibility requirements in Article III.

2.3 Institutional Members: Institutional Membership is available to compatible Pagan churches, temples, covens, traditions, nonprofit organizations, community groups, educational organizations, and other organizations that support PSA’s mission and agree to comply with these bylaws and applicable standards.

Each Institutional Member shall designate a primary representative or liaison and may designate an alternate under procedures established by the Spiral Council. A liaison communicates and participates on behalf of the institution only within the authority granted by that institution and PSA. Institutional Members receive no separate vote. Their officers, members, employees, or representatives may register as Individual Members and exercise their personal rights in that capacity.

An institution cannot hold elected office or occupy a seat on the Spiral Council. A natural person affiliated with or serving as liaison for an Institutional Member may seek office in that person’s individual capacity if otherwise eligible, subject to the organizational-representation limit in Section 3.2.

2.4 Attendance, Participation, Membership, and Representation: Attendance at a plenary, event, meeting, team activity, or public program does not by itself confer membership. Permission to participate in discussion or activities does not confer voting rights, governance authority, or authority to represent PSA. Institutional representation does not by itself confer Individual Membership. Membership does not by itself authorize a person to make commitments, issue official statements, or otherwise act on behalf of PSA.

2.5 Admission and Records: Membership is granted by the Spiral Council or its designee under written procedures adopted by the Council. PSA shall maintain a membership register sufficient to determine current membership, good standing, Institutional Member liaisons, and eligibility to vote in Council elections.

2.6 Rights and Responsibilities: Members may attend member programs, contribute ideas and proposals, participate in teams or projects subject to applicable requirements, and receive information designated for their membership class. All members agree to act in alignment with PSA’s values, maintain confidentiality as appropriate under Article V, engage with mutual respect and inclusion, and follow applicable policies and codes of conduct.

2.7 Review, Suspension, and Revocation: The Spiral Council may review a membership when conduct raises a reasonable concern regarding safety, ethics, confidentiality, legal risk, or alignment with PSA’s mission and values. Membership may be denied, suspended, or revoked for repeated disruptive behavior; ethical violations; breach of confidentiality; public behavior that materially harms the reputation, safety, or mission of the Alliance; or speech or actions promoting hate, harassment, or threats, including under the guise of religious or magical practice. Inactivity or failure to participate is not grounds for suspension or revocation.

Except where immediate interim action is reasonably necessary to protect people or the Alliance, the affected member shall receive notice of the concern and a fair opportunity to respond before a final decision. The Spiral Council may adopt additional procedures consistent with these bylaws.

ARTICLE III: Structure and Governance

3.1 Governance Framework: The registered Individual Members elect the Spiral Council. The Spiral Council is PSA’s principal governing body. Working Teams exercise delegated operational authority, and plenaries serve as consultative and community forums. Except for Spiral Council elections and any exceptional vote expressly authorized by these bylaws, formal governance decisions belong to the Spiral Council or to persons or teams acting under its delegated authority.

3.2 Composition and Eligibility: The Spiral Council shall be composed of no more than thirteen (13) elected members. Council membership should reflect diverse Pagan voices and strive for inclusion, including BIPOC, LGBTQIA+, solitary practitioners, and emerging leaders. No more than one Council member may represent or be seated as the principal representative of the same major church, tradition, or organization at the same time.

Candidates must be registered Individual Members in good standing, demonstrate commitment to PSA’s mission and values, and ordinarily should have been PSA members for at least six months and participated in one or more Working Teams before standing for election. Institutions themselves are not eligible for election.

3.3 Elections and Terms: The Spiral Council shall establish fair election procedures, including reasonable nomination, notice, ballot, eligibility-verification, and result-certification rules. Only registered Individual Members in good standing may vote, and each has one vote for each seat being elected under the adopted election procedure.

A person’s initial elected term is one (1) year. After completing the initial term, that person may be reelected to subsequent terms of three (3) years each. Terms shall be staggered so that approximately one-third of Council seats expire each year and the entire Council is not normally up for election at once. The Council may adopt transition schedules and adjust term groupings when reasonably necessary to preserve staggering, provided that no person’s term is extended beyond these limits without an election.

3.4 Vacancies: When a Council seat becomes vacant before the end of its term, the remaining Council members may appoint an eligible Individual Member to serve until the next regular election. At that election, the Individual Members shall elect a person to serve the balance of the unexpired term, if any.

To be eligible to vote in the Spiral Council election, Individual Members must be actively participating in the work of the Pagan Solidarity Alliance for at least 60 days. Active participation may include regular attendance at Plenary meetings, Spiral Council meetings, team or committee meetings, or meaningful participation in approved PSA projects and initiatives. Voting eligibility is intended to ensure that those making decisions on behalf of the organization are informed, engaged, and connected to the ongoing work of the PSA. Members who have not participated during the established eligibility period may attend the Plenary and participate in discussion but will not be eligible to vote until the participation requirement has been met.

Service by appointment does not count as the person’s initial elected term; election to complete an unexpired term does count as the initial elected term unless less than six months remain, in which case the Council may treat the following full term as the initial elected term.

3.5 Spiral Council Authority and Responsibilities: Subject to these bylaws, the Spiral Council has general authority to govern and conduct PSA’s affairs, including authority over policy, administration, strategy, official positions and actions, Working Teams, membership matters, financial decisions and commitments, affiliations and relationships, records, security protocols, conflict resolution, and implementation of PSA’s goals and objectives.

The Council shall coordinate, monitor, establish, reorganize, or dissolve Working Teams; authorize persons to act for PSA; oversee legal, financial, reputational, and operational risk; and keep the membership reasonably informed of significant decisions while respecting confidentiality and safety. When a Team is not represented on the Council, the Council may invite or appoint a nonvoting ex officio liaison for that Team.

3.6 Council Decision-Making: The Council shall seek consensus when practicable. A majority of seated Council members constitutes a quorum. Unless these bylaws require a higher threshold, an action is approved by a simple majority of Council members voting at a meeting with quorum. Abstentions are not votes cast. A tie vote fails.

Council action may occur at meetings or through secure electronic or telephonic methods authorized by the Council, provided that the action and votes are recorded. Emergency matters may be considered on an expedited basis. The Council may delegate defined authority to one or more individuals or Teams for efficiency, expertise, geography, or urgent action, but retains oversight and may modify or withdraw the delegation.

Removal of a seated Council member requires approval by at least two-thirds (2/3) of the Council members eligible to vote on the question after notice and a fair opportunity for the member to respond. The member whose removal is under consideration is not eligible to vote on that question. The Council may impose an interim suspension by simple majority when reasonably necessary to protect people or PSA pending final consideration.

3.7 Plenaries: Plenaries are PSA’s principal forums for community connection, consultation, discussion, education, reporting, collaboration, and proposal development. They are not PSA’s governing legislature. The Council should seek plenary input on consequential matters when practicable, but plenary discussion, consensus, straw polls, or recommendations are advisory unless the Council expressly submits a matter for a binding vote under authority granted by these bylaws.

Plenaries may be open to guests, prospective members, allies, and the general public. Facilitators may establish reasonable participation and safety rules and may distinguish opportunities available to members from those available to nonmembers. Public attendance or participation does not confer membership, voting rights, authority to represent PSA, or access to confidential information.

3.8 Working Teams: The Spiral Council may establish Working Teams as needed to advance the mission, programs, operations, and strategic priorities of the Pagan Solidarity Alliance. Working Teams may be standing or temporary in nature and may be created, reorganized, combined, renamed, or dissolved by the Spiral Council as the needs and priorities of the Alliance evolve.

Each Working Team shall operate under a purpose, scope, or charge established or recognized by the Spiral Council. Teams may develop projects, programs, initiatives, and subgroups consistent with that charge and may collaborate directly with other Teams when work involves shared or overlapping responsibilities.

Each Team shall have one or more Facilitators or other designated coordinators, subject to approval and oversight by the Spiral Council. Facilitators shall support the effective operation of the Team, convene or facilitate meetings as appropriate, ensure that significant activities and decisions are appropriately documented, that listed member continue to remain active and update the Spiral Council with any changes at least quarterly, and provide regular reports or updates to the Spiral Council and, when appropriate, the plenary.

Participation in Working Teams may include Individual Members, representatives of Institutional Members, and other persons invited or approved to contribute relevant knowledge, experience, or assistance, subject to any requirements or limitations established by the Spiral Council.

Each Working Team shall maintain its official communications, minutes, reports, working documents, and other organizational records in the digital repository or other records-management location approved by the Spiral Council. The currently approved repository is Google Drive. Team records shall be maintained in a manner that ensures appropriate access, continuity, transparency, and preservation of the Alliance’s institutional records.

3.9 Delegated Team Authority: Working Teams are authorized to make and implement routine administrative, procedural, program planning, and operational decisions that fall within their established purposes, approved plans and budgets, and authority delegated by the Spiral Council. Teams are encouraged to exercise reasonable initiative within their areas of responsibility and may coordinate directly with other Teams on matters of shared interest.

Matters that establish or materially affect Alliance policy, exceed an approved budget or delegation of authority, create significant financial or legal obligations, involve substantial legal, ethical, safety, or reputational considerations, or otherwise materially bind or affect the Pagan Solidarity Alliance shall be referred to the Spiral Council for review and decision.

Upon referral, the Spiral Council may approve, modify, decline, or return a matter for further development; seek consultation from the plenary, members, advisors, or other appropriate persons or bodies; or provide additional guidance or delegated authority to the Team.

Working Teams shall maintain appropriate records of significant decisions and activities and provide sufficient information to enable effective Spiral Council oversight, organizational continuity, and transparency.

ARTICLE IV: Ethics and Conduct

4.1 Code of Ethics: All members agree to:

• Act with integrity and respect for all traditions.
• Reject racism, sexism, misogyny, homophobia, transphobia, ableism, ageism, spiritual appropriation, and all other forms of bigotry.
• Prioritize consent, transparency, and informed participation.
• Refrain from hate speech, targeted harassment, doxxing, spiritual manipulation, or coercion.
• Respect political diversity. PSA welcomes a range of political viewpoints, provided they are expressed respectfully and do not conflict with the Alliance’s core values of human dignity, inclusion, religious freedom, and justice for all people.

4.2 Conflict Resolution: Concerns should first be addressed within Working Teams when appropriate and safe. If unresolved, inappropriate for Team handling, or involving broader risk, the Spiral Council may address the matter directly or convene a conflict-resolution team or mediator.

4.3 Grievance Process: PSA shall maintain a pathway for addressing reports of harm caused by members, especially those involving abuse of power, public harassment, or violation of ethical commitments. Sanctions may include verbal or written warnings, temporary suspension, removal from leadership or delegated roles, or expulsion, depending on severity and as determined by the Spiral Council under Section 2.7.

ARTICLE V: Confidentiality and Data Protection

5.1 Confidentiality: Members and authorized participants shall not share sensitive or confidential Alliance information outside the authorized group without express permission, except where disclosure is required by law or reasonably necessary to report an imminent threat or seek appropriate professional assistance.

5.2 Data Handling: PSA shall use reasonable practices to protect membership, administrative, and sensitive program information. Encrypted platforms, such as Signal and Proton Mail, are encouraged where appropriate. Email lists must be opt-in. Meetings shall not be recorded or stored in cloud services unless authorized by the Spiral Council or its designee and participants receive appropriate notice.

ARTICLE VI: Public Representation

6.1 Official Statements and Commitments: The Spiral Council has final authority to approve statements, positions, endorsements, expenditures, contracts, affiliations, and other commitments made in PSA’s name. The Council shall ordinarily consult the Messaging Team or other relevant Team before approving public communications and may delegate defined approval authority.

6.2 Media and Personal Speech: Members, Institutional Member liaisons, plenary attendees, and other participants may speak publicly about their own work and views, but shall not state or imply that they speak for PSA or that PSA endorses their position unless explicitly authorized by the Spiral Council or under a valid delegation.

6.3 Institutional Representation: An Institutional Member’s liaison may speak for that institution within the scope of the liaison’s authority, but may not bind or speak for PSA. PSA membership or participation does not make an institution’s independent statements or actions statements or actions of PSA.

ARTICLE VII: Amendments and Major Structural Actions

7.1 Proposal: Any registered Individual Member, Institutional Member through its designated liaison, Working Team, or Council member may submit a proposed amendment to the Spiral Council in writing.

7.2 Notice and Review: The Council shall provide the proposed text to all seated Council members and, when practicable, to the membership for comment at least seven (7) days before final action. The Council may waive or shorten membership circulation when confidentiality, safety, or legal necessity requires, but may not waive notice to Council members except by unanimous consent of all seated Council members.

7.3 Ratification: An amendment requires approval by at least two-thirds (2/3) of all seated Council members. The Council shall announce an adopted amendment to the membership and maintain the current official text and effective date.

7.4 Other Major Structural Actions: Unless a higher standard is stated elsewhere in these bylaws, merger, dissolution, formal incorporation, or transfer of substantially all PSA assets or organizational control requires approval by at least two-thirds (2/3) of all seated Council members after reasonable notice and consultation with the membership. This section does not reduce the full-consensus requirement in Section 8.2.

ARTICLE VIII: Preparation for Incorporation and Administrative Relationships

8.1 Fiduciary Readiness: Should the Alliance pursue formal nonprofit status, the Spiral Council may designate interim officers and adopt financial policies as needed, subject to the approval threshold in Section 7.4.

8.2 Alternative Coverage: PSA may establish an umbrella arrangement with an existing 501(c)(3) for fiscal sponsorship or legal protection. Any such arrangement requires full consensus of all seated Spiral Council members and public transparency consistent with legal, privacy, and safety obligations.

8.3 Umbrella and Administrative Relationship: New Aeon Church International has been designated as fiscal custodian for any donations collected or distributed by PSA. New Aeon Church International and Vyndyco Corporation have been designated as administrators for the collection, maintenance, and storage of PSA membership data and administrative records.
